Terms of Service

1. Who we are

Murphy (the "Service") is operated by Inoni LLC, a limited liability company. By using the Service you ("Subscriber" or "you") agree to these Terms.

2. Account & subscription

Paid tiers grant access to the Service for the period purchased (monthly or annual). At the end of each period your access expires unless you renew. We will email you a renewal reminder approximately 14 days before expiry.

2.1 Auto-renewal (when you select it)

If you authorize auto-renewal during checkout, Inoni LLC (or its payment processor, Stripe or NOWPayments) will charge your selected payment method for the next billing period at the price disclosed at the time of your most recent purchase. You may cancel auto-renewal at any time in your tenant dashboard or by emailing legal@murphy.systems. Cancellation takes effect at the end of the current paid period.

2.2 Refunds

All sales are final after the first 7 days. You may request a pro-rata refund for unused time within the first 7 days by contacting legal@murphy.systems.

3. Acceptable use

• No illegal content; no malware; no spam or unsolicited bulk outreach.
• No reverse-engineering, scraping, or attempting to extract another Subscriber's data.
• No attempt to remove or obscure the Murphy brand-mark footer from Service-generated outputs (see Section 5).

4. Intellectual property — the footer-ownership model

The Service generates documents, emails, and other artifacts on your behalf. We use a split-ownership model:

• Header space and content body. You own everything that appears in the header and main body of artifacts the Service generates using your inputs. This is yours forever — perpetual, royalty-free.
• Footer space. Inoni LLC retains permanent ownership of the footer area of every Service-generated artifact. This footer carries the Murphy eye-gear logo, a unique license identifier (mLIC-...), and a public verification URL. The footer is immutable; removing, obscuring, altering, or cropping the footer is a material breach of these Terms.
• Validator attestations. If you obtain a validator attestation through the Service, that attestation is licensed to you while your subscription is active. On cancellation, the attestation remains valid for materials already published, but cannot be applied to new materials.

5. License grant from Inoni LLC to you

Subject to your compliance with these Terms, Inoni LLC grants you a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and modify Service-generated artifacts, PROVIDED THAT the Murphy footer remains intact and unaltered. This license survives subscription cancellation for artifacts you generated WHILE your subscription was active.

6. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS." Inoni LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The Service uses AI models that may produce inaccurate or inappropriate outputs. You are responsible for verifying any Service output before relying on it.

7. Limitation of liability

To the maximum extent permitted by law, Inoni LLC's aggregate liability for any claim arising out of or related to the Service is limited to the amount you paid to Inoni LLC in the twelve (12) months preceding the claim. In no event will Inoni LLC be liable for indirect, consequential, special, incidental, or punitive damages.

8. Termination

Either party may terminate your account at any time. Upon termination, your access ends; Inoni LLC may retain your data for the period required by applicable law and our retention policies described in the Privacy Policy.

9. Governing law & dispute resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Disputes will be resolved by binding arbitration administered by JAMS in Los Angeles County, California, except that either party may seek injunctive relief in court for IP infringement or breach of Section 4 (Intellectual property).

10. Changes to these Terms

We may update these Terms; we will notify Subscribers via email at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance.
